Sole proprietor Artem Vitalievich Potykun (OGRNIP 325508100092492, INN 504418067410), "HireHub", offers any natural person with full legal capacity, sole proprietor or legal entity, the "Customer", to enter into a contract for paid services on the terms of this offer. The offer is addressed to an indefinite range of persons and is a public offer under Article 437 of the Civil Code of the Russian Federation.
1. Terms
1.1. Platform: the HireHub service, meaning the website naimhub.work, the application app.naimhub.work, the HireHub Telegram bot and the programming interface (API and MCP server).
1.2. Account: the Customer's account on the Platform.
1.3. Specialist: a person HireHub engages to carry out the Customer's tasks under a separate contract between HireHub and the Specialist.
1.4. Task: an assignment the Customer places in the Account, with a description, a deadline, a payment method (hourly or fixed price) and the assigned Specialist.
1.5. Balance: the Customer's ruble account on the Platform, which records the advances paid and how they are spent.
1.6. Platform Rules: the document published on the Platform that sets out communication, acceptance, disputes and restrictions. The Platform Rules and the Tariffs form part of this contract.
2. Subject of the contract
2.1. HireHub, on the Customer's instructions, provides the services and performs the work the Customer describes in Tasks (development, testing, design, texts and other work available on the Platform), and gives access to Platform features under the plan the Customer chooses.
2.2. HireHub performs Tasks by itself and through engaged Specialists. The Customer agrees that HireHub may engage third parties to perform the contract, and HireHub is liable to the Customer for their actions as for its own.
2.3. The Customer buys the result from HireHub. No contract is made between the Customer and the Specialist: every obligation under a Task, including payment and acceptance, arises only between the Customer and HireHub.
2.4. The Customer may choose a Specialist in the Platform catalogue, invite them to a Task, project or workspace, talk to them in the Platform messenger and accept the result. These actions are taken under the contract with HireHub.
3. Conclusion of the contract
3.1. The contract is concluded by accepting this offer: by pressing the document acceptance button in the application or by confirming in the HireHub Telegram bot after reading the offer. By accepting the offer, a natural person confirms that they are 18 years old or have acquired full legal capacity.
3.2. Acceptance means agreement with all terms of the offer, the Platform Rules and the Tariffs in the version in force at the moment of acceptance.
3.3. The parties treat actions in the Account and in the Telegram bot as signed with a simple electronic signature under section 12.
4. Price and payment
4.1. The price of a Task is shown on the Task page before the work starts:
- for hourly payment, the hourly rate shown to the Customer in the Specialist's profile and on the Task page, multiplied by the hours the Customer accepted;
- for a fixed price, the amount the Customer set for the Task.
4.2. The price shown to the Customer is final. Nothing is added on top: payment acceptance costs, bank fees and HireHub's taxes are included.
4.3. The price of a plan subscription is set by the Tariffs and is charged to the Balance.
4.4. HireHub applies the simplified taxation system. While HireHub is exempt from the duties of a VAT payer under Article 145 of the Tax Code of the Russian Federation, prices are stated without VAT. If HireHub becomes a VAT payer, the tax is included in the price shown to the Customer and does not increase it, and the VAT rate and amount are stated in cash receipts and closing documents.
4.5. The hourly rate of a Task may change. A new rate applies only to hours tracked after the change and is shown to the Customer in the Specialist's profile and on the Task page.
5. Balance and advances
5.1. The Customer pays an advance to the Balance for future Platform services. An advance is not a deposit and bears no interest.
5.2. Ways to pay an advance:
- by bank card through the internet acquiring of JSC "TBank", within the single payment limit shown in the interface;
- by an invoice the Customer issues in the Account. This way is available to legal entities and sole proprietors, and to any Customer whose amount exceeds the card payment limit. The payment purpose must contain the invoice number.
5.3. For each advance HireHub issues a cash receipt under Federal Law No. 54-FZ marked as an advance and sends it to the Customer's e-mail. When services are rendered, HireHub issues a closing receipt that offsets the advance.
5.4. The advance is spent on services: accepted hours, the fixed price of a Task at the moment it is reserved, and subscriptions. A reserved amount is used only to pay for the Task it is reserved for.
5.5. The unspent advance is returned to the Customer on request, sent through the Account or to HireHub's e-mail, within 10 calendar days. It is returned the same way it was paid: to the bank card or to the payer's account. Nothing is withheld from the refund.
5.6. Closing documents (acts of services rendered) are generated monthly and are available in the Account. If the Customer sends no reasoned objections within 5 business days after an act is published, the act is deemed signed. For a Customer who is a consumer, acceptance, including acceptance by expiry of the period, does not take away the rights given by Article 29 of the Law of the Russian Federation "On Consumer Rights Protection", including the right to claim defects that could not be found on acceptance.
6. How Tasks are performed
6.1. Hourly Task. The Specialist tracks time on the Platform. Tracked hours are handed to the Customer for acceptance daily. The Customer accepts or disputes them within the period set in the Platform Rules. Hours the Customer does not dispute within that period are deemed accepted. The Customer may turn on automatic acceptance of hours.
6.2. Fixed-price Task. When the Customer assigns a Specialist, the fixed price is reserved on the Balance. After the result is delivered, the Customer accepts it or sends reasoned remarks through the Platform within 5 calendar days. If within that period the Customer neither accepts the result nor sends remarks, the result is deemed accepted. For a Customer who is a consumer, acceptance, including acceptance by expiry of the period, does not take away the rights given by Article 29 of the Law of the Russian Federation "On Consumer Rights Protection", including the right to claim defects that could not be found on acceptance.
6.3. The terms of a Task (price, scope, deadlines) apply as recorded on the Task page. Arrangements in correspondence do not change the terms of a Task until they are entered on the page.
6.4. Cancellation of a Task, partial acceptance and the return of a reserved amount follow the Platform Rules.
7. Rights to results
7.1. The exclusive right to a result created under a Task passes to the Customer in full from the moment the result is accepted and paid for. The remuneration for the alienation of the exclusive right is included in the Task price.
7.2. Until the right passes, the Customer may use interim materials only to check the result.
7.3. If the result uses openly licensed materials or the Customer's materials, the rights to them are governed by the respective licences and the Customer's rights.
8. Obligations of the parties
8.1. HireHub undertakes to:
- select a Specialist or let the Customer choose one in the catalogue;
- ensure the Task is performed on the terms stated on its page;
- keep the Customer's advance and spend it only on the Customer's services;
- issue receipts and closing documents;
- handle the Customer's requests through Platform support.
8.2. The Customer undertakes to:
- provide accurate data in the Account and when paying;
- set Tasks that do not break the law or the Platform Rules;
- accept the result or send reasoned remarks within the set periods;
- not exchange contact details with Specialists and not arrange work or payment outside the Platform.
8.3. The automatic checking of correspondence, Tasks, comments, files and images on the Platform for compliance with the Platform Rules is part of HireHub's services under this contract. The procedure for checking is set by clause 2.3 of the Platform Rules.
9. Liability
9.1. The parties are liable for non-performance under the laws of the Russian Federation.
9.2. If the Customer is an entrepreneur or a legal entity, HireHub's liability is limited to the price of the Task the claim arises from and excludes lost profit.
9.3. For a Customer who is a consumer, liability is governed by the Law of the Russian Federation "On Consumer Rights Protection" and cannot be limited by this contract.
9.4. HireHub is not liable for Platform interruptions caused by third parties, network failures or force majeure, provided it has taken reasonable steps to remedy them.
10. Disputes
10.1. Disagreements over a Task are first handled on the Platform under the Platform Rules.
10.2. A claim is sent to HireHub's e-mail or through Platform support. The reply period is 15 calendar days, or up to 45 calendar days if a review or additional documents are needed. A party asked for documents under a claim provides them within 3 business days. For a Customer who is a consumer, the procedure of items 10.1 and 10.2 is not mandatory: they may go to court at once. Claims of a Customer who is a consumer for which the Law "On Consumer Rights Protection" sets a period are satisfied within that period.
10.3. Disputes with a Customer who is an entrepreneur or a legal entity are heard by the Moscow Arbitrazh Court. Disputes with a Customer who is a natural person but not a consumer are heard by the court of general jurisdiction at HireHub's location given in the section "HireHub details".
10.4. Disputes with a Customer who is a consumer are heard by a court under the rules of jurisdiction set by the legislation of the Russian Federation, including Article 17 of the Law "On Consumer Rights Protection".
11. Term and changes
11.1. The contract remains in force until terminated.
11.2. The Customer may terminate the contract at any time by ceasing to use the Platform and asking for the Account to be deleted. By then the parties complete settlements under Tasks in progress, and the unspent advance is returned under clause 5.5.
11.3. HireHub may change the offer by publishing a new version with its effective date. If the changes are material, the Platform asks the Customer to accept the new version before the next action that requires it. Tasks started before the change are performed on the previous terms.
12. Simple electronic signature
12.1. The parties use a simple electronic signature. The signature key is access to the Account or to the Telegram account linked to it. An action taken after signing in to the Account or confirmed in the Telegram bot is deemed signed.
12.2. Each time a document is accepted, the Platform records the Account identifier, the date and time, the IP address (in the application) and the Telegram user identifier (in the bot). These records are evidence of signing.
12.3. Electronic documents signed with a simple electronic signature are equivalent to paper documents signed by hand.
13. Notices
13.1. HireHub sends legally significant messages to the Account, to the Telegram bot or to the Customer's e-mail. A message is deemed received on the day it is sent.
13.2. The Customer sends messages to HireHub through Platform support or to atmpotn@yandex.ru.
